1. Introduction and Acceptance

Welcome to SIQ ("Platform", "Service"), a quantitative financial analysis platform operated by Mycelia Labs ("Company", "we", "us", or "our"). By accessing or using SIQ, you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. These Terms constitute a legally binding agreement between you and Mycelia Labs. If you do not agree to these Terms, you must not access or use the Platform.

By creating an account, accessing, or using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract; (c) you are not prohibited from using the Platform under applicable law; and (d) you will comply with these Terms and all applicable local, national, and international laws and regulations.

Beta Software Notice

SIQ IS PROVIDED AS BETA SOFTWARE. The Platform is in active development and is made available to you on an "as is" and "as available" basis for testing and evaluation purposes. You acknowledge that the Platform may contain bugs, errors, and other problems that could cause system failures, data loss, or other issues.

By using this beta software, you expressly acknowledge and agree that use of the Platform is at your sole risk. The Company does not guarantee that the Platform will meet your requirements, operate without interruption, be secure, or be free from errors.

Important Financial and Regulatory Disclaimer

SIQ is a product of Mycelia Labs. SIQ is a technology platform providing quantitative analysis tools. SIQ is NOT a registered broker-dealer, registered investment adviser, or financial planner, and does not provide investment advice, tax advice, legal advice, or recommendations to buy, sell, or hold any securities or financial instruments.

FOR USERS IN THE UNITED STATES: SIQ is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority. The Platform does not provide securities recommendations or personalised investment advice within the meaning of the Investment Advisers Act of 1940.

FOR USERS IN THE UNITED KINGDOM AND EUROPEAN UNION: SIQ is not authorised or regulated by the Financial Conduct Authority (FCA) or any EU member state financial regulator. The Platform does not carry on regulated activities as defined in the Financial Services and Markets Act 2000 or equivalent EU legislation.

FOR USERS IN INDIA: SIQ is not registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser pursuant to the SEBI (Investment Advisers) Regulations, 2013, nor as a Research Analyst pursuant to the SEBI (Research Analysts) Regulations, 2014. SIQ constitutes an artificial intelligence software tool that interfaces with third-party brokerage accounts through authorised application programming interfaces (APIs), including but not limited to the Kite Model Context Protocol (MCP) provided by Zerodha Broking Limited. SIQ operates in a manner functionally equivalent to other artificial intelligence applications (such as Claude, ChatGPT, Gemini, and similar large language model applications) that are capable of interfacing with brokerage APIs. The Platform provides computational analysis tools and does not render "investment advice" as defined under Regulation 2(l) of the SEBI (Investment Advisers) Regulations, 2013. All investment decisions remain solely within the discretion and responsibility of the User. The User independently authorises API connectivity, reviews analytical outputs, and determines whether to execute any transactions through their own brokerage account.

All investing involves risk, including the possible loss of principal. Past performance does not guarantee future results. The information provided through the Platform is for informational and educational purposes only and should not be construed as personalised investment, financial, legal, or tax advice. Any financial data, analysis, or projections provided by the Platform are generated by artificial intelligence and may contain errors, inaccuracies, or omissions.

You should consult with qualified, licensed professionals regarding your specific financial situation before making any investment decisions. We do not recommend or endorse any specific securities, investments, or strategies. You are solely responsible for evaluating the merits and risks of any investment decision.

2. Service Description

SIQ provides AI-powered quantitative financial analysis tools through a conversational interface. The Platform enables users to:

  • Upload and analyse portfolio data you provide
  • Receive quantitative analysis and computational insights
  • Access financial data visualisations and charts
  • Interact with AI-powered analysis tools
  • Connect to third-party brokerage accounts via authorised APIs for trade execution

Nature of Service and Classification

SIQ IS AN ARTIFICIAL INTELLIGENCE SOFTWARE APPLICATION AND NOT A FINANCIAL SERVICES PROVIDER. The Platform is classified as a software tool that utilises artificial intelligence and machine learning technologies to perform computational analysis of financial data. SIQ is functionally analogous to other artificial intelligence applications—including but not limited to Claude (Anthropic), ChatGPT (OpenAI), and Gemini (Google)—that possess the capability to interface with brokerage application programming interfaces for analytical purposes.

Where the Platform interfaces with third-party brokerage accounts (including via the Zerodha Kite Model Context Protocol or similar authorised APIs), such connectivity is established solely upon the User's express authorisation. The Platform does not maintain custody of User funds, does not hold User credentials, and does not execute transactions except upon the User's affirmative instruction following User review of proposed transactions.

No Advisory Relationship: Use of the Platform does not create any fiduciary relationship, advisory relationship, or agency relationship between the User and Mycelia Labs. The Platform provides computational outputs and analytical tools; it does not provide personalised recommendations, suitability assessments, or investment advice tailored to any individual User's financial circumstances, objectives, or risk tolerance.

User Agency and Responsibility: The User retains sole and exclusive authority over all investment decisions. The User is responsible for: (a) evaluating the appropriateness of any analytical output; (b) conducting independent due diligence; (c) reviewing all proposed transactions prior to execution; and (d) making the ultimate determination whether to execute, modify, or reject any transaction. Mycelia Labs expressly disclaims any responsibility for investment decisions made by Users.

The Platform is currently offered free of charge during the beta period. We reserve the right to introduce fees, modify features, or discontinue the Service at any time. We will endeavour to provide at least thirty (30) days' notice before introducing material changes to pricing or discontinuing the Service, though we are not obligated to do so during the beta period.

Third-Party Data: Any market data, financial information, or external data displayed through the Platform may be provided by third-party sources. Such data may be delayed, inaccurate, or incomplete. We do not guarantee the accuracy, completeness, or timeliness of any third-party data, and you should not rely on it for trading or investment decisions without independent verification.

3. Account Registration and Security

To access the Platform, you must create an account through our authentication provider (WorkOS). By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

You may not share your account credentials with third parties, create multiple accounts, or transfer your account to another person without our prior written consent. We reserve the right to suspend or terminate accounts that violate these provisions.

4. User Responsibilities and Acceptable Use

By using the Platform, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Use the Platform only for lawful purposes and in compliance with these Terms
  • Not attempt to reverse engineer, decompile, disassemble, or derive source code from the Platform
  • Not use the Platform to transmit malware, viruses, or harmful code
  • Not use automated systems, bots, or scrapers to access the Platform without express written permission
  • Not attempt to circumvent any security features or access controls
  • Comply with all applicable laws and regulations, including securities laws

Prohibited Financial Activities

You expressly agree NOT to use the Platform in connection with or furtherance of:

  • Market manipulation, insider trading, or any form of securities fraud
  • Money laundering or terrorist financing
  • Any activity that would violate applicable securities laws or regulations
  • Circumventing trade sanctions or embargo restrictions
  • Any other illegal financial activity

YOU ARE SOLELY RESPONSIBLE FOR ANY INVESTMENT DECISIONS YOU MAKE. The Company shall not be liable for any losses arising from your reliance on information, analysis, or outputs provided through the Platform. All outputs are generated by artificial intelligence and should be independently verified before any action is taken.

5. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

By uploading portfolio data or engaging with the Platform, you grant us a limited, non-exclusive, royalty-free licence to process, analyse, and display this data solely for the purpose of providing the Service to you. We use third-party AI services (including Anthropic) to power our analysis capabilities. Your data may be processed by these services in accordance with their respective privacy policies and our data processing agreements.

Data Accuracy: You are responsible for ensuring that any data you upload to the Platform is accurate and that you have the right to share such data. We are not responsible for any errors or inaccuracies in the analysis resulting from inaccurate input data.

6. Intellectual Property

The Platform, including all content, features, functionality, software, algorithms, user interface design, and documentation, is owned by Mycelia Labs and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any data you upload to the Platform. By uploading content, you grant us a limited, non-exclusive, royalty-free, worldwide licence to use, process, store, and display such content solely for the purpose of providing the Service.

Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Platform without any obligation to compensate you.

7. Disclaimers and Warranty Exclusions

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE
  • WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
  • WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION, ANALYSIS, OR OUTPUT PROVIDED THROUGH THE PLATFORM
  • ALL AI-GENERATED OUTPUTS, ANALYSIS, AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND MAY CONTAIN ERRORS, INACCURACIES, OR HALLUCINATIONS
  • WE MAKE NO WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORM

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES
  • WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) ANY UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; (C) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; OR (D) ANY OTHER MATTER RELATING TO THE PLATFORM
  • FINANCIAL LOSSES: WE ARE EXPRESSLY NOT LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR FINANCIAL LOSSES OF ANY KIND RESULTING FROM YOUR USE OF OR RELIANCE ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM: (I) DECISIONS MADE BASED ON AI-GENERATED ANALYSIS; (II) ERRORS OR INACCURACIES IN DATA PROCESSING; OR (III) SYSTEM DOWNTIME OR UNAVAILABILITY
  • OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (£100)

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mycelia Labs, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable legal fees and costs) arising from or related to:

  • Your access to or use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including securities laws
  • Your infringement of any third-party rights, including intellectual property rights
  • Any content or data you submit to the Platform
  • Any investment or trading decisions you make based on information from the Platform

We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without prior notice, including for any breach of these Terms. You may stop using the Platform and terminate your account at any time by contacting us at hello@thesiq.ai.

Upon termination: (a) your right to use the Platform will immediately cease; (b) you must cease all use of the Platform; and (c) we may delete your account and associated data in accordance with our Privacy Policy.

Survival: The following provisions shall survive termination: Sections 1 (Introduction and Acceptance), 4 (User Responsibilities), 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Termination - Survival), 12 (Governing Law), and any other provisions that by their nature should survive termination.

11. Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. For material changes, we will endeavour to provide at least thirty (30) days' notice before the changes take effect.

Your continued use of the Platform after any such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account. It is your responsibility to review these Terms periodically for changes.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

For Users in the European Union: Nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence. If you are a consumer, you may bring legal proceedings in either the courts of England and Wales or the courts of your country of residence.

For Users in the United States: You retain all rights under the California Consumer Privacy Act (CCPA) as detailed in our Privacy Policy. Nothing in these Terms shall be construed to limit any rights you may have under applicable US consumer protection laws.

Subject to the above, any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, provided that we may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Dispute Resolution

Informal Resolution: Before initiating any formal legal action, you agree to first contact us at legal@thesiq.ai and attempt to resolve any dispute informally. We will attempt to resolve the dispute within sixty (60) days from the date of your notice.

Mediation: If we cannot resolve a dispute informally, you and Mycelia Labs agree to attempt to resolve the dispute through mediation before initiating any court proceedings (except for claims for injunctive relief). Any mediation shall be conducted in London, England, in the English language, unless otherwise agreed.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, epidemics, strikes, shortage of transportation, facilities, fuel, energy, labour, or materials, failure of third-party service providers (including cloud hosting providers, API providers, and payment processors), cyberattacks, power outages, or telecommunications failures.

15. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

16. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of Mycelia Labs. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

17. Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and Mycelia Labs regarding your use of the Platform and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

By using SIQ, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
